Executive Board of the Association
The Executive Board is the top management and governing body of VGEA, ensuring efficient operation in accordance with the Charter and regulations. Structure includes:
- President and Vice-Presidents (technology, finance, communications, domestic, international)
- Heads of Committees: Finance, Communications, Office, Organizational, Domestic, International
- Strategic leadership and overall mission delivery
- Financial management and budget oversight
- Operational decision-making and program monitoring
- Representation and external communication
- Long-term planning and partnership development
All VGEA members are entitled to:
- Right to participate in decision-making, voting, and elections
- Access to internal information and Association documents
- Use of free technology tools and platforms created by the Association
- Promote products and services on Association communication channels
- Access to Association services, benefits, and resource materials
- Propose and participate in projects, programs, or activities
- Vote and stand for election to leadership positions when applicable
All members are required to:
- Adhere to all bylaws and regulations of the Association
- Pay membership fees and financial contributions on schedule
- Actively participate in and support Association activities
- Protect common interests and promote the goals of the Association
- Maintain confidentiality of important Association information
To join VGEA, applicants must meet the following requirements:
- Be a business registered in Vietnam or globally, meeting basic requirements in our Articles of Incorporation
- Pay membership fees and maintain payment status per regulations
- Provide identity verification documents and any authorizations representing the business
- Agree to and adhere to all terms and regulations in our Articles and Regulations
Continuing membership requires:
- Regular payment of membership fees as stipulated
- Compliance with all terms throughout the membership period
- Active participation and positive engagement with other members
- Compliance with information security regulations
- Participation in projects, programs, and activities supporting our mission

Termination of Membership
Membership status may be terminated through:
- The Association's official decision-making process per Articles of Incorporation
- Voluntary resignation by the member
- Non-compliance with the fundamental terms and regulations
- Failure to pay required membership fees and contributions
VGEA finances are managed transparently, accurately, and in compliance with applicable laws.
- Members are required to pay joining fees and maintain membership fees
- Payment deadlines depend on agreements established by the Association
- All financial transactions are recorded per accounting and tax regulations
- Periodic audits by independent firms ensure transparency
- Revenue is allocated to activities and programs by Board decision
- Electronic transactions use secure methods with full documentation
- Board periodically discloses financial reports to members
VGEA holds at least one General Meeting per year as stipulated.
- Notice sent to all members at least 4 weeks before the scheduled date
- All members may attend and vote in proceedings
- Presided over by the President of the Board or duly authorized individual
- Discusses and decides important matters including Articles changes and elections
- Requires quorum to be valid; decisions by majority vote
- Minutes are meticulously recorded and accessible per regulations
- Special meetings may be held for specific matters as outlined

Amendments to the Articles
Amendments to the Association's Articles may be carried out by the General Assembly or written consent of the Board of Directors.
- Members may propose amendments at least 4 weeks prior to the General Assembly
- Amendments require majority vote approval or written Board consent
- Approved amendments take effect immediately unless otherwise specified
- Members are notified and provided a copy of revised Articles
- All changes are meticulously recorded and stored

- Members commit not to infringe upon others' intellectual property rights
- Members may use their IP rights in e-commerce development
- Provides fair and transparent dispute resolution mechanisms
- Offers legal support or advice related to IP rights when necessary
- All activities must comply with applicable IP laws and regulations
